These Terms and Conditions (the “Terms”) govern your access to and use of the Local Living Project website, mobile application, marketplace, and related services (together, the “Services”).
The Services are operated by Living Local Project LLC, an Oregon limited liability company doing business as Local Living Project (“Local Living Project,” “we,” “us,” or “our”).
Please read these Terms carefully. They include a limitation of our liability in Section 24, a waiver of class actions and jury trial in Section 28, and an obligation to try to resolve disputes informally before filing a claim.
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Local Living Project operates a marketplace that helps shoppers discover, browse, and purchase goods and services from locally owned businesses in Central Oregon and Southern Oregon. The Services may include:
· A shopper marketplace website
· A mobile application for iOS and Android
· Store Owner storefronts and dashboards
· Ordering, checkout, delivery, pickup, and shipping tools
· Memberships, promotions, and featured placements
· Support, messaging, and account management tools
We use the term Store Owner to describe the independent local businesses that list and sell through the Services. We use the term shopper to describe customers who buy through the Services.
Local Living Project is a platform provider. We do not manufacture, produce, prepare, grow, or handle the products listed by Store Owners.
We may update these Terms from time to time. We will post the updated Terms with a revised “Last Updated” date. If the changes are material, we will provide reasonable advance notice, such as an email or an in-app notice, before they take effect.
Your continued use of the Services after updated Terms take effect constitutes acceptance of the revised Terms, to the extent permitted by law. If you do not agree to the updated Terms, you should stop using the Services and may close your account.
You must be at least 18 years old to create an account, place an order, or otherwise use the Services. The Services are not directed to children and we do not knowingly permit anyone under 18 to transact through the Services.
By using the Services, you represent that:
· You are at least 18 years old
· You can enter into a legally binding agreement
· All information you provide is accurate and current
· You will use the Services only in compliance with applicable laws
· You are not barred from using the Services under the laws of the United States or any other applicable jurisdiction
To access certain features, you may need to create an account. You are responsible for:
· Maintaining the confidentiality of your login credentials
· Restricting access to your account and devices
· All activity that occurs under your account
You agree to provide accurate, complete, and current account information and to update it as needed. Notify us promptly at support@locallivingproject.com if you believe your account has been compromised.
We may suspend or terminate accounts that contain false information, violate these Terms, or create risk to the platform, to Store Owners, or to other users.
You may delete your account at any time. See our Privacy Policy for how to do that and what happens to your information.
Local Living Project provides a marketplace that connects shoppers and Store Owners. Store Owners are the sellers and the merchant of record for their own sales. Local Living Project is not a party to the sale contract between a shopper and a Store Owner except where we expressly state otherwise for a specific product or program.
This means:
· Store Owners are responsible for their own listings, descriptions, ingredients, allergen and labeling information, pricing, inventory, business information, and fulfillment commitments
· Store Owners are responsible for complying with the laws that apply to their business, products, services, taxes, licenses, permits, and operations
· Store Owners are responsible for the quality, safety, and legality of what they sell
· We do not guarantee the quality, safety, legality, availability, or accuracy of Store Owner products, services, or listings
· We do not independently inspect or test products listed by Store Owners
We do verify Store Owner applications against our marketplace standards, but that review is a curation process and not a warranty of any kind.
Where we provide order support, dispute resolution, or refunds under Section 12, we do so as a platform service and not as the seller.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the Local Living Project mobile application on a device you own or control, solely for your personal or internal business use of the Services.
You may not: copy the application except as permitted by this license; modify, translate, adapt, or create derivative works of it; reverse engineer, decompile, or disassemble it except to the extent that restriction is prohibited by law; rent, lease, lend, sell, redistribute, or sublicense it; or remove any proprietary notices.
The following apply if you obtained the application from the Apple App Store. In the event of a conflict with the rest of these Terms, this subsection controls as to Apple.
· Acknowledgment. These Terms are between you and Living Local Project LLC only, and not with Apple Inc. (“Apple”). We, not Apple, are solely responsible for the application and its content.
· Scope of license. The license granted above is limited to a non-transferable license to use the application on any Apple-branded product that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
· Maintenance and support. We are solely responsible for providing maintenance and support for the application. Apple has no obligation to furnish any maintenance or support services.
· Warranty. In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the application to you, if any. To the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be our sole responsibility.
· Product claims. We, not Apple, are responsible for addressing any claims relating to the application or your possession or use of it, including product liability claims, any claim that the application fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.
· Intellectual property claims. In the event of any third-party claim that the application or your possession and use of it infringes that third party’s intellectual property rights, we, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of that claim.
· Legal compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
· Third-party beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right, and is deemed to have accepted the right, to enforce these Terms against you as a third-party beneficiary.
· Contact. Questions, complaints, or claims regarding the application should be directed to support@locallivingproject.com.
If you obtained the application from Google Play, your use is also subject to the Google Play Terms of Service. These Terms are between you and Living Local Project LLC only, and not with Google. Google is not responsible for the application or its content.
When you place an order, you are making an offer to purchase from the Store Owner through the platform. Orders are subject to acceptance, availability, and cancellation.
Local Living Project and Store Owners reserve the right to:
· Refuse or cancel orders
· Limit quantities
· Correct pricing or listing errors
· Remove unavailable items
· Decline transactions suspected of fraud or abuse
An order confirmation acknowledges receipt of your order. It does not necessarily mean the order has been accepted or fulfilled. If an order is canceled after you have been charged, we will arrange a refund of the affected amount.
Prices displayed in the Services are set by Store Owners and are subject to change. You may be charged:
· Product or service pricing set by the Store Owner
· Taxes where applicable
· Delivery fees
· Shipping fees
· Service fees
· Membership or subscription fees
· Store Owner platform, commission, or featured placement fees, where applicable to Store Owners
The total you will be charged is displayed at checkout before you submit your order. You are responsible for reviewing the final checkout total before submitting.
Payments are processed by third-party payment providers, currently Stripe, Inc. By submitting payment information, you authorize us and our payment partners to charge the applicable payment method for authorized purchases, fees, memberships, subscriptions, and other charges. Your use of the payment provider is also subject to its own terms.
We do not receive or store full payment card numbers. See our Privacy Policy for details.
Store Owner payouts. Store Owner payouts are processed through Stripe Connect on the schedule described in the Store Owner Agreement. Store Owners are responsible for their own tax reporting and remittance.
Availability of each fulfillment method depends on the Store Owner and the location.
Delivery. Delivery is performed through Elite Extra, a third-party delivery partner.. Estimated delivery times are estimates, not guarantees. Delays may occur due to weather, Store Owner readiness, traffic, service interruptions, or other conditions outside reasonable control. You are responsible for providing an accurate and accessible delivery address and for any special instructions.
Pickup. You are responsible for arriving during the selected or designated pickup window and for bringing any identification the Store Owner reasonably requires. Store Owners may set specific pickup conditions. Orders not picked up within the stated window may be forfeited without refund where the products are perishable.
Shipping. Shipping times are estimates only. Risk of delay may depend on carrier performance.
Local Living Project is not liable for delays caused by Store Owners, carriers, delivery providers, weather, or circumstances outside reasonable control.
Many products sold through the Services are food, beverages, prepared foods, or perishable goods.
· Store Owners are solely responsible for the safety, handling, storage, preparation, packaging, labeling, and legal compliance of the products they sell, including all applicable food safety, licensing, and cottage food requirements
· Ingredient, allergen, nutritional, and dietary information is provided by Store Owners. We do not verify it. If you have a food allergy, sensitivity, or dietary restriction, contact the Store Owner directly before ordering and do not rely solely on the listing
· Perishable products must be refrigerated, stored, or consumed promptly according to the Store Owner’s instructions. Once a perishable order has been delivered or picked up, safe handling is your responsibility
· Product images are illustrative. Actual products may vary in appearance, size, and seasonality
Nothing in this section limits any rights you have under applicable law that cannot be waived.
The following may not be listed or sold through the Services:
· Alcoholic beverages
· Cannabis, hemp-derived THC products, and CBD products
· Tobacco, nicotine, and vaping products
· Firearms, ammunition, weapons, and related components
· Prescription drugs, controlled substances, and drug paraphernalia
· Supplements or products making disease treatment or cure claims
· Live animals
· Counterfeit, stolen, recalled, or unlawfully obtained goods
· Products that infringe another party’s intellectual property
· Any product whose sale is unlawful in Oregon or the United States or in the delivery destination
· Any product prohibited by our payment provider’s acceptable use policy
We may add to this list at any time. Listing a prohibited product is grounds for immediate removal of the listing and suspension or termination of the Store Owner account.
Cancellation, refund, and return eligibility varies by Store Owner, product type, service type, and fulfillment stage.
Unless otherwise stated:
· Orders may not be cancelable once they have been prepared, dispatched, or fulfilled
· Perishable goods, prepared foods, custom items, and certain services are generally non-refundable
· Refunds may be granted in cases of verified issues such as non-delivery, materially incorrect or unusable items, duplicate charges, or approved order problems
· We may investigate disputes and determine, in our discretion, whether platform-based resolution, account credits, or refunds are appropriate
To raise an order problem, contact us at support@locallivingproject.com within [7] days of the order date, or sooner for perishable items.
Nothing in this section limits any non-waivable rights you may have under applicable law.
We may offer optional memberships or subscriptions, such as the Local Living Pass.
Where memberships are sold. Memberships are purchased on our website at locallivingproject.com. They are not sold or processed through the mobile app. Once your membership is active, your benefits are available when you sign in to the app with the same account.
Before you subscribe, we will clearly disclose the price, the billing frequency, the fact that the subscription renews automatically, and how to cancel. We will obtain your affirmative consent to the recurring charge through a separate, unchecked opt-in. We will send you an acknowledgment you can keep that restates those terms and includes cancellation instructions.
Recurring charges. By enrolling, you authorize us and our payment provider to charge your payment method on the disclosed billing cycle until you cancel.
How to cancel. You may cancel at any time, without speaking to anyone, by:
· Visiting [locallivingproject.com/membership] on the web and selecting Cancel Membership, or
· Emailing support@locallivingproject.com
Cancellation stops future renewals. Access generally continues through the end of the current billing period. We do not provide partial-period refunds unless required by law.
Changes. Benefits, pricing, and eligibility may change. We will give you advance notice of any price increase or material change and an opportunity to cancel before it takes effect.
We may offer promotions, discounts, credits, referral programs, gift cards, or limited-time offers. Unless otherwise stated:
· Promotions have no cash value and are not redeemable for cash
· Promotions may be modified or canceled at any time
· Promotions may not be combined with other offers
· Promotions may be limited by date, location, account, Store Owner, or order type
· Abuse of promotional programs may result in reversal of the benefit, suspension, or removal
Gift cards, where offered, are subject to applicable state law regarding expiration and fees.
If you use the Services as a Store Owner, the following applies in addition to the rest of these Terms.
Relationship to the Store Owner Agreement. If you have signed a Store Owner Agreement with us, that agreement governs your participation. In the event of a conflict between these Terms and your Store Owner Agreement, the Store Owner Agreement controls. These Terms fill any gaps.
You agree that:
· You will provide accurate business, tax, licensing, insurance, and product information
· You are responsible for inventory accuracy, product safety, allergen and labeling accuracy, legal compliance, fulfillment, and customer communication
· You hold all licenses, permits, and registrations required for your business and products, and will provide proof on request
· You will maintain the insurance described below and provide a current certificate of insurance on request
· You will honor accepted orders unless cancellation is necessary and justified
· You will not post misleading, unlawful, infringing, prohibited, or unsafe listings
· You will not list any product identified in Section 11
· You grant us a non-exclusive, worldwide, royalty-free license to display and use your business name, logo, listing content, product photos, descriptions, and promotional materials in connection with operating and marketing the Services. This license continues for a reasonable period after you leave the platform for materials already distributed
· Platform fees, subscription fees, commissions, and featured placement charges may apply according to your plan
· You are an independent business. Nothing in these Terms creates a partnership, joint venture, franchise, employment, or agency relationship between you and Local Living Project
Insurance.
Store Owners in the following categories must carry commercial general liability insurance that includes product liability coverage, with limits of at least $1,000,000 per occurrence and $2,000,000 in the aggregate, in force before their first listing goes live:
· Food, beverages, and any other ingestible product
· Supplements, herbal preparations, and similar consumable goods
· Cosmetics, skincare, and other products applied to the body
· Any service performed in a shopper’s home, on a shopper’s property, or on a shopper’s person
Store Owners in all other categories must carry the same coverage once their sales through the Services exceed $2,500 in any calendar month. We may require coverage earlier for any product or service we consider higher risk.
Your certificate of insurance must name Living Local Project LLC as an additional insured, and must include primary and non-contributory wording and a waiver of subrogation in our favor. Most insurers add these endorsements at no cost. Your policy must provide at least 30 days notice to us before cancellation or non-renewal.
You will provide a current certificate at onboarding, at each policy renewal, and at any time we request one. If your coverage lapses, we may suspend your listings until it is restored.
We may remove listings, withhold payouts where legally permitted, suspend Store Owner accounts, or terminate participation for policy violations, fraud risk, customer harm, lapsed insurance, or legal concerns.
You agree not to:
· Violate any law, regulation, or third-party right
· Use the Services for fraudulent or deceptive purposes
· Misrepresent your identity, affiliation, or business
· Attempt to bypass fees, commissions, or platform processes, including by soliciting shoppers to transact off-platform for orders originating on the platform
· Interfere with platform security or operations
· Collect, harvest, copy, or extract data from the Services by automated means without our written authorization
· Upload malware or harmful code
· Post false, incentivized-but-undisclosed, or manipulated reviews or content
· Harass, threaten, abuse, or impersonate others
· Submit unlawful, infringing, defamatory, obscene, or harmful material
· Use the Services in a way that could damage Local Living Project, Store Owners, shoppers, or partners
If you submit content, including reviews, ratings, photos, comments, listings, or other materials, you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, host, store, reproduce, display, adapt, publish, and distribute that content in connection with the Services and related marketing. To the extent permitted by law, you waive any moral rights in that content.
You represent that:
· You own or have the necessary rights to the content you submit
· Your content does not violate any law or third-party right
· Your content is accurate to the best of your knowledge
Our commitments on reviews. We do not write fake reviews, pay for reviews without disclosure, or suppress or delete negative reviews because they are negative. We may remove content that violates these Terms, is unlawful, is off-topic, contains personal information, or is submitted fraudulently.
Copies of removed content may persist in backups or where retention is required for legal or safety reasons.
We respect intellectual property rights. If you believe content on the Services infringes your copyright, send a written notice to our designated agent containing:
1. A physical or electronic signature of the copyright owner or authorized agent
2. Identification of the copyrighted work claimed to be infringed
3. Identification of the material claimed to be infringing and where it is located on the Services
4. Your contact information
5. A statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law
6. A statement, under penalty of perjury, that the information is accurate and you are authorized to act on the owner’s behalf

We may remove allegedly infringing content and terminate repeat infringers. If your content was removed and you believe it was a mistake, you may submit a counter-notice to the same address.
The Services, including the platform design, text, graphics, logos, trademarks, software, content structure, and other materials owned by Local Living Project, are protected by intellectual property laws.
Except as expressly permitted, you may not copy, reproduce, distribute, modify, create derivative works from, reverse engineer, or exploit Local Living Project content without prior written permission.
Store Owner content remains owned by the Store Owner, subject to the license granted in Section 15.
Consent to electronic communications. You consent to receive notices, disclosures, agreements, and other communications from us electronically, including by email, in-app message, and posting to the Services. Electronic communications satisfy any legal requirement that a communication be in writing.
Service messages. We may send you transactional messages about your orders, account, and the Services. These are part of the Services and are not marketing.
Text messages. If you opt in, we may send you text messages. Message frequency varies and message and data rates may apply. Reply STOP to stop and HELP for help. Consent to marketing texts is not a condition of purchase. We do not share or sell mobile numbers or SMS consent with third parties for their own marketing.
Push notifications. You can disable push notifications in your device settings.
Marketing email. You may unsubscribe using the link in any marketing message.
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge that you have reviewed the Privacy Policy.
The Services may integrate with or link to third-party providers, including payment processors, delivery services, analytics tools, mapping providers, messaging systems, identity verification tools, and external websites.
We are not responsible for third-party services, content, systems, or policies. Your use of third-party services may be governed by their separate terms and privacy policies.
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. Local Living Project disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, accuracy, non-infringement, quiet enjoyment, and uninterrupted availability.
We do not guarantee that:
· The Services will always be available, secure, or error-free
· Listings, ingredient information, or allergen information will always be accurate or current
· Store Owners will fulfill every order without issue
· Products or services will meet your expectations
· Delivery, shipping, or pickup will occur without delay
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
To the fullest extent permitted by law, Local Living Project and its members, officers, directors, employees, contractors, affiliates, and partners will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, or platform downtime arising out of or related to the Services.
To the fullest extent permitted by law, our total liability for all claims arising out of or relating to the Services will not exceed the greater of:
· The total amount you paid to Local Living Project in the 12 months before the event giving rise to the claim, or
· Five hundred dollars ($500)
THESE LIMITATIONS DO NOT APPLY TO liability for death or personal injury caused by our negligence, our gross negligence, our willful misconduct, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law.
Nothing in this section limits any claim you may have directly against a Store Owner. Store Owners are independent businesses and are responsible for their own products and services. This section limits our liability only.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You agree to defend, indemnify, and hold harmless Local Living Project and its members, officers, employees, contractors, affiliates, and partners from and against claims, damages, liabilities, losses, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
· Your use of the Services
· Your violation of these Terms
· Your content
· Your products, services, listings, or business conduct, if you are a Store Owner
· Your violation of any law or third-party right
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, at your expense, and you agree to cooperate with our defense.
We may suspend, restrict, or terminate access to the Services at any time, with or without notice, if:
· You violate these Terms
· You create risk or possible legal exposure
· Fraud, abuse, or harmful conduct is suspected
· Continued access is not commercially or operationally appropriate
Where practical and lawful, we will give notice and an opportunity to cure.
You may stop using the Services at any time and may delete your account as described in our Privacy Policy.
Sections that by their nature should survive termination will survive, including Sections 5, 10, 15, 17, 18, 19, 23, 24, 25, 27, 28, and 29.
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Oregon, without regard to its conflict of laws rules, except where another law is required to apply.
Informal resolution first. Before filing any formal claim, you agree to contact us at support@locallivingproject.com with a written description of the dispute and the relief you seek, and to give us 30 days to try to resolve it. Most issues can be resolved this way.
Venue. If a dispute cannot be resolved informally, you and Local Living Project agree that any action must be brought exclusively in the state or federal courts located in Deschutes County, Oregon, and you consent to the personal jurisdiction of those courts. This does not prevent either party from bringing an individual claim in small claims court.
Class action waiver. To the fullest extent permitted by law, you and Local Living Project agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
Jury trial waiver. To the fullest extent permitted by law, you and Local Living Project waive any right to a jury trial in any action arising out of or relating to these Terms or the Services.
Time limit. To the extent permitted by law, any claim arising out of or relating to the Services must be filed within one year after it arises, or it is permanently barred.
Entire agreement. These Terms, together with the Privacy Policy and, for Store Owners, the Store Owner Agreement, constitute the entire agreement between you and Local Living Project regarding the Services and supersede any prior agreements on that subject.
Severability. If any provision is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
Force majeure. Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, wildfire, severe weather, utility or internet outages, labor disputes, public health emergencies, or governmental action.
Notices. We may give notice to you by email to the address on your account, by in-app message, or by posting to the Services. You may give notice to us at support@locallivingproject.com or at the mailing address in Section 31.
Relationship. Nothing in these Terms creates a partnership, joint venture, franchise, employment, or agency relationship between you and Local Living Project.
Headings. Section headings are for convenience only and do not affect interpretation.
We want the Services to be usable by everyone. We work toward conformance with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. If you encounter an accessibility barrier, contact us at support@locallivingproject.com and we will work with you to provide the information or complete the transaction through an alternative method.
