Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Local Living Project website, mobile application, marketplace, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Services.
1. About the Services
Local Living Project (“Local Living,” “Company”) provides a platform that helps customers discover, browse, and purchase goods and services from locally owned businesses. The Services may include:
• A consumer marketplace website
• A mobile app
• Vendor storefronts and dashboards
• Ordering, checkout, delivery, pickup, and shipping tools
• Memberships, promotions, and featured placements
• Support, messaging, and account management tools
Local Living acts as a platform provider and does not manufacture most products listed by vendors.
2. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services unless a parent or legal guardian has given permission where allowed by law.
By using the Services, you represent that:
• You can enter into a legally binding agreement.
• All information you provide is accurate and current.
• You will use the Services only in compliance with applicable laws.
3. Accounts
To access certain features, you may need to create an account. You are responsible for:
• Maintaining the confidentiality of your login credentials
• Restricting access to your account
• All activity that occurs under your account
You agree to provide accurate, complete, and current account information and to update it as needed.
Local Living may suspend or terminate accounts that contain false information, violate these Terms, or create risk to the platform or other users.
4. Marketplace Role
Local Living provides a marketplace connecting customers and vendors. Unless explicitly stated otherwise:
• Vendors are responsible for their own listings, descriptions, pricing, inventory, business information, and fulfillment commitments.
• Vendors are responsible for complying with laws that apply to their business, products, services, taxes, licenses, and operations.
• Local Living is not the seller of record for every transaction unless specifically stated.
• Local Living does not guarantee the quality, safety, legality, availability, or accuracy of vendor products or services.
5. Orders and Acceptance
When you place an order, you are making an offer to purchase from the vendor through the platform. Orders are subject to acceptance, availability, and cancellation.
Local Living and vendors reserve the right to:
• Refuse or cancel orders
• Limit quantities
• Correct pricing or listing errors
• Remove unavailable items
• Decline transactions suspected of fraud or abuse
An order confirmation does not necessarily mean the order has been fully accepted or fulfilled.
6. Pricing, Fees, and Payments
Prices displayed in the Services are subject to change without notice. Users may be charged:
• Product or service pricing set by vendors
• Taxes where applicable
• Delivery fees
• Shipping fees
• Service fees
• Membership or subscription fees
• Promotional placement or vendor platform fees, where applicable
Customers are responsible for reviewing the final checkout total before submitting an order.
Payments may be processed through third-party payment processors. By submitting payment information, you authorize Local Living and its payment partners to charge the applicable payment method for authorized purchases, fees, memberships, subscriptions, or other charges.
7. Delivery, Pickup, and Shipping
Local Living may offer:
• Pickup
• Local delivery
• Shipping
Availability depends on the vendor and location.
Delivery
When delivery is selected:
• Delivery services may be performed by third-party delivery partners.
• Estimated delivery times are not guaranteed.
• Delays may occur due to weather, vendor readiness, traffic, service interruptions, or other conditions outside reasonable control.
Pickup
When pickup is selected:
• Customers are responsible for arriving during the selected or designated pickup window.
• Vendors may set specific pickup conditions.
Shipping
When shipping is selected:
• Shipping times are estimates only.
• Risk of delay may depend on carrier performance.
Local Living is not liable for delays caused by vendors, carriers, delivery providers, weather, or circumstances outside reasonable control.
8. Cancellations, Refunds, and Returns
Cancellation, refund, and return eligibility may vary by vendor, product type, service type, and fulfillment stage.
Unless otherwise stated:
• Orders may not be cancelable once they have been prepared, dispatched, or fulfilled.
• Perishable goods, prepared foods, custom items, and certain services may be non-refundable.
• Refunds may be granted in cases of verified issues such as non-delivery, materially incorrect items, duplicate charges, or approved order problems.
• Local Living may investigate disputes and determine, in its sole discretion, whether platform-based resolution, account credits, or refunds are appropriate.
Nothing in this section limits any non-waivable rights you may have under applicable law.
9. Memberships and Subscriptions
Local Living may offer optional memberships or subscriptions, such as Local Living Pass or similar programs.
By enrolling in a membership or subscription, you agree that:
• Fees may recur automatically on the billing cycle disclosed at signup.
• You authorize recurring charges until cancellation.
• Benefits, pricing, and eligibility may change with notice where required by law.
• Cancellation may stop future renewals, but current-period access may continue through the end of the billing cycle.
You are responsible for reviewing membership details before subscribing.
10. Promotions and Credits
Local Living may offer promotions, discounts, credits, referral programs, gift cards, or limited-time offers. Unless otherwise stated:
• Promotions have no cash value.
• Promotions may be modified or canceled at any time.
• Promotions may not be combined with other offers.
• Promotions may be limited by date, location, account, vendor, or order type.
• Abuse of promotional programs may result in suspension or removal.
11. Vendor Terms
If you use the Services as a vendor, you additionally agree that:
• You will provide accurate business, tax, licensing, and product information.
• You are responsible for inventory accuracy, product safety, legal compliance, fulfillment, and customer communication as applicable.
• You will honor accepted orders unless cancellation is necessary and justified.
• You will not post misleading, unlawful, infringing, prohibited, or unsafe listings.
• You grant Local Living the right to display your business name, logo, listing content, product photos, descriptions, and promotional materials in connection with operating and marketing the Services.
• Platform fees, subscription fees, commissions, and featured placement charges may apply according to your vendor plan.
Local Living reserves the right to remove listings, withhold payouts where legally permitted, suspend vendor accounts, or terminate vendor participation for policy violations, fraud risk, customer harm, or legal concerns.
12. Prohibited Conduct
You agree not to:
• Violate any law, regulation, or third-party right
• Use the Services for fraudulent or deceptive purposes
• Misrepresent your identity, affiliation, or business
• Attempt to bypass fees, commissions, or platform processes
• Interfere with platform security or operations
• Scrape, harvest, copy, or extract data without authorization
• Upload malware or harmful code
• Post false reviews or manipulated content
• Harass, threaten, abuse, or impersonate others
• Submit unlawful, infringing, defamatory, obscene, or harmful material
• Use the Services in a way that could damage Local Living, vendors, customers, or partners
13. User Content and Reviews
If you submit content, including reviews, ratings, photos, comments, vendor materials, or other content, you grant Local Living a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, host, reproduce, display, adapt, publish, and distribute that content in connection with the Services and related marketing.
You represent that:
• You own or have the necessary rights to the content you submit.
• Your content does not violate any law or third-party right.
• Your content is accurate to the best of your knowledge.
Local Living may remove content at its discretion.
14. Intellectual Property
The Services, including the platform design, text, graphics, logos, trademarks, software, content structure, and other materials owned by Local Living, are protected by intellectual property laws.
Except as expressly permitted, you may not copy, reproduce, distribute, modify, create derivative works from, reverse engineer, or exploit Local Living content without prior written permission.
Vendor-owned content remains owned by the vendor, subject to the rights granted in these Terms.
15. Privacy
Your use of the Services is also governed by the Privacy Policy. By using the Services, you acknowledge that you have reviewed the Privacy Policy.
16. Third-Party Services
The Services may integrate with or link to third-party providers, including:
• Payment processors
• Delivery services
• Analytics tools
• Mapping providers
• Messaging systems
• Identity verification tools
• External websites
Local Living is not responsible for third-party services, content, systems, or policies. Your use of third-party services may be governed by their separate terms and privacy policies.
17. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. Local Living disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, accuracy, non-infringement, quiet enjoyment, and uninterrupted availability.
Local Living does not guarantee that:
• The Services will always be available, secure, or error-free
• Listings will always be accurate or current
• Vendors will fulfill every order without issue
• Products or services will meet your expectations
• Delivery, shipping, or pickup will occur without delay
18. Limitation of Liability
To the fullest extent permitted by law, Local Living and its officers, directors, employees, contractors, affiliates, and partners will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, personal injury, property damage, or platform downtime arising out of or related to the Services.
To the fullest extent permitted by law, Local Living’s total liability for any claim arising out of or relating to the Services will not exceed the greater of:
• The amount you paid to Local Living in the 12 months before the claim, or
• $100
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
19. Indemnification
You agree to defend, indemnify, and hold harmless Local Living and its affiliates, officers, employees, contractors, and partners from and against claims, damages, liabilities, losses, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
• Your use of the Services
• Your violation of these Terms
• Your content
• Your products, services, listings, or business conduct, if you are a vendor
• Your violation of any law or third-party right
20. Termination
Local Living may suspend, restrict, or terminate access to the Services at any time, with or without notice, if:
• You violate these Terms
• You create risk or possible legal exposure
• Fraud, abuse, or harmful conduct is suspected
• Continued access is not commercially or operationally appropriate
You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, liability limits, indemnification, dispute terms, and other continuing obligations.
21. Governing Law
These Terms are governed by the laws of the State of Oregon 03/28/2026, without regard to conflict of laws rules, unless another law is required to apply.
22. Disputes
Before filing a formal claim, you agree to try to resolve disputes informally by contacting Local Living first.
If a dispute cannot be resolved informally, Local Living may require that disputes be resolved through binding arbitration or in the courts located in Deschutes County, Oregon, and subject to applicable law.
23. Changes to Terms
Local Living may update these Terms from time to time. Updated Terms will be posted with a revised “Last Updated” date. Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.
